Thank you for your interest in DirectorySpot.  By using DirectorySpot, you agree to the following terms of service.

This agreement for use of DirectorySpot is made between you (referred to as "Client") and Taydan Enterprises, LLC, d/b/a DirectorySpot (“DirectorySpot”).  If you are an individual representing an entity-Client, you hereby represent and warrant that you have the power and authority to contractually bind the Client to these terms of service.

Services:
Subject to the terms and conditions of this Agreement, DirectorySpot agrees to provide Client with electronic directory services including access to a mobile directory application with Client's logo and color of choice for the following operating systems:
- iOS
- Android

DirectorySpot will provide the ability for Client to grant read only or administrative website access to additional users.  Security within the application will only allow authorized users access to the data. Directory data includes, but is not limited to, names, email addresses, phone numbers, addresses, and notes for each contact.

While Client maintains an active subscription, DirectorySpot will provide support for questions and troubleshooting to the Client.

Payment and Terms:
Access to DirectorySpot will be made available while Client maintains an active subscription.  If a Client's subscription expires, the directory data will be deleted and the users will no longer have access to the website or the mobile applications.

Client Consent:
Client hereby grants to DirectorySpot and its employees, agents, and independent contractors permission to review and publish the data and logos provided by Client within DirectorySpot.

Release and Waiver:
Client further agrees to release, indemnify and hold harmless DirectorySpot, its employees, agents, and contractors against any and all losses, damages, expenses and claims resulting in whole or part, directly or indirectly, from use and publishing of the data. Client acknowledges that DirectorySpot has no control over how the data is used by users of the application. However, DirectorySpot does take full responsibility to ensure that its employees, agents and contractors keep Client data confidential and secure at all times, and agrees to not sell, distribute or misuse Client data for any reason. Client agrees that in no event shall DirectorySpot, its employees, agents, or contractors total and aggregate liability under this agreement exceed the amount of fees paid by the client. Client is responsible for granting access to users of the application through DirectorySpot's secure website. Those users are responsible for maintaining the confidentiality and security of their user registration and passwords.

Sponsorship and Logo:
Client takes full responsibility for all content uploaded to DirectorySpot and agrees that content must not infringe on rights or violate U.S. law. Client represents, warrants and agrees that they will not contribute any content that (a) infringes, violates, or otherwise interferes with any copyright or trademark of another party; (b) reveals any trade secret, unless you own the trade secret or have the owner's permission to post it; (c) infringes any intellectual property right of another or on the privacy or publicity rights of another; (d) is libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, offensive, or otherwise violates any law or right of any third party; (e) contains a virus, trojan horse, worm, or other computer programming routine or engine that is intended to damage, interfere, or intercept data or information.

Publicity Release:
Client agrees to allow DirectorySpot to market the application on its website and within its marketing materials (print and electronic) along with the name of the client and pictures of the application; all data will remain confidential. This agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. This agreement shall be governed by the laws of the State of Illinois.


EU Personal Data:
With respect to the processing of personal data relating to data subjects located in the European Economic Area or the United Kingdom by DirectorySpot solely on your behalf, the terms of the Data Processing Addendum shall apply.  The following terms have the meanings given in the General Data Protection Regulation (EU) 2016/679: “personal data”, “controller”, “data subject” and “process”.

Publicity Release:
Client agrees to allow DirectorySpot to market the application on its website and within its marketing materials (print and electronic) along with the name of the client and pictures of the application; all data will remain confidential. This agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. This agreement shall be governed by the laws of the State of Illinois.
